1. Service Agreement and Acceptance

1.1 These Terms of Service ("Terms") govern access to and use of WellStreak AI websites, applications, APIs, and related services (collectively, the "Services").
1.2 By registering, accessing, or using the Services, you confirm that you are legally authorized to bind yourself and, where applicable, your organization.
1.3 If you do not agree with these Terms, you must discontinue use of the Services immediately.

2. Scope of Services

2.1 WellStreak AI provides a business performance operating system that includes structured AI workflow tools for sales, support, hiring, analytics, and automation support.
2.2 Service features may be modified, enhanced, suspended, or discontinued to maintain reliability, security, legal compliance, and operational quality.
2.3 Any roadmap references, previews, or experimental features are informational and do not create binding delivery commitments.

3. Account Security and User Responsibilities

3.1 You are responsible for maintaining account credential confidentiality, role-based user controls, and integration key security.
3.2 You are responsible for all actions performed under your account, including user activity, workspace configuration, prompts, uploaded documents, and connected channels.
3.3 You must ensure your use of the Services complies with applicable laws, contractual obligations, and third-party platform requirements.

4. Billing, Plans, and Payment Terms

4.1 Subscription charges are billed in advance for the selected billing cycle unless expressly stated otherwise in writing.
4.2 Trial access, promotional terms, and usage limits may vary by plan and may be revised by WellStreak AI with prospective effect.
4.3 Failure of payment authorization, charge settlement, or billing compliance may result in feature restrictions, suspension, or service termination.
4.4 Refund eligibility is governed by the Refund Policy and assessed case-by-case based on transaction and usage evidence.

5. AI Output and User Review Obligations

5.1 The Services may generate automated outputs, recommendations, and classifications based on configured data and third-party model providers.
5.2 AI outputs are provided for operational support and are not guaranteed to be complete, accurate, or suitable for every context.
5.3 You must apply human review for high-impact use cases including legal, financial, tax, compliance, hiring decisions, and regulated communications.
5.4 WellStreak AI is not responsible for customer actions taken solely on automated output without appropriate review.

6. Data Handling, Retention, and Privacy

6.1 Data processing is governed by these Terms, the Privacy Policy, Cookie Policy, and Data Processing Agreement (DPA), where applicable.
6.2 You represent that all data submitted by you is lawfully obtained and that you hold required permissions to process such data through the Services.
6.3 WellStreak AI retains operational, billing, audit, and security records for periods reasonably necessary for service delivery, dispute resolution, fraud prevention, and legal compliance.
6.4 You may request export or deletion of eligible data as described in applicable legal policies and support procedures.

7. Third-Party Integrations and Dependencies

7.1 The Services may interact with third-party providers, including messaging channels, payment gateways, analytics infrastructure, and AI model providers.
7.2 Third-party services are governed by their own terms, policies, service availability, and technical constraints.
7.3 WellStreak AI does not warrant uninterrupted availability or behavior of external integrations and is not liable for third-party platform actions or outages.

8. Acceptable Use and Prohibited Conduct

8.1 You must not use the Services for unlawful, deceptive, abusive, or malicious activity, including fraud, unauthorized surveillance, harassment, or circumvention of security controls.
8.2 You must not use the Services to transmit malware, violate intellectual property rights, or process data without lawful basis.
8.3 Violations may result in warning, access restrictions, suspension, termination, and legal escalation where required.

9. Intellectual Property

9.1 WellStreak AI and its licensors retain all rights, title, and interest in the Services, software, architecture, documentation, and trademarks.
9.2 Except for limited rights expressly granted under these Terms, no license or ownership transfer is granted to you.
9.3 You retain ownership of your original customer content, subject to a limited license allowing WellStreak AI to process such content for service delivery and support.

10. Termination and Suspension

10.1 You may stop using the Services at any time subject to outstanding contractual or payment obligations.
10.2 WellStreak AI may suspend or terminate access for security events, legal requests, policy breaches, fraudulent behavior, or unresolved payment failures.
10.3 Upon termination, data access and deletion/export rights are handled in accordance with policy and legal obligations.

11. Indemnification

11.1 You agree to defend, indemnify, and hold harmless WellStreak AI, its affiliates, and personnel from claims, losses, liabilities, costs, and expenses arising out of your misuse of the Services.
11.2 This includes claims arising from unlawful data use, violation of third-party rights, breach of these Terms, or unauthorized integrations configured by you.

12. Limitation of Liability

12.1 To the maximum extent permitted by law, WellStreak AI shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
12.2 Subject to non-excludable legal rights, total aggregate liability of WellStreak AI shall not exceed fees paid by you for the Services during the three (3) months immediately preceding the claim event.
12.3 Nothing in these Terms excludes liability that cannot be lawfully excluded under applicable law.

13. Service Disclaimer and Force Majeure

13.1 Services are provided on an "as is" and "as available" basis without warranties of uninterrupted operation, merchantability, or fitness for a particular purpose.
13.2 WellStreak AI is not liable for delays or failures caused by events beyond reasonable control, including network failures, cyber incidents, cloud outages, strikes, acts of government, natural disasters, or force majeure events.

14. Governing Law, Jurisdiction, and Arbitration

14.1 These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
14.2 Any dispute not resolved amicably within thirty (30) days shall be finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended.
14.3 The seat and venue of arbitration shall be Bengaluru, Karnataka, India. Proceedings shall be conducted in English by a sole arbitrator.
14.4 Subject to arbitration requirements, courts at Bengaluru, Karnataka shall have exclusive jurisdiction for interim or injunctive relief.

15.1 WellStreak AI may update these Terms to reflect legal, operational, or product changes. Updated versions become effective upon publication unless otherwise specified.
15.2 Material updates may be communicated through in-product notices or registered email channels.
